Germany’s Succession Wave May be the Biggest Deal Opportunity of the Next Decade.
Something structural is happening in the German M&A market right now, and it is not being driven by megadeals or platform acquisitions.
Around 186,000 German companies are facing a generational ownership change in the coming years. These are established, often highly profitable, frequently export-oriented businesses with decades of operational history. Many are founder-led businesses where long-term succession is not yet secured.
For international strategic buyers and financial investors, this creates a consistent source of deal opportunities in Germany. The transactions are smaller than the headline PE deals that fill the press, but the underlying businesses are often exceptional: niche market leaders with loyal customer bases, proprietary technology, and workforces that have been with the company for decades.
The challenge is that buying a German Mittelstand company is not the same as acquiring a PE-backed asset that has been professionally prepared for sale. The target is often a company that has never been through a formal due diligence process. The corporate records may be incomplete. The managing director is frequently the seller. And once the deal closes, the buyer has to establish an entirely new governance and management structure from scratch.
Now execution becomes the focus. Managing directors need to be appointed, corporate governance arrangements implemented, registered office requirements addressed and banking infrastructure coordinated. In transactions where timelines are compressed, these practical workstreams often become critical path items.
These are not afterthoughts. For an international acquirer without an existing German operational presence, they are day-one problems that need day-one answers.
At Greenfields, we work with dealmakers at exactly this stage. From shelf companies and local managing directors to registered office services, corporate housekeeping and finance and tax support for acquisition and holding structures, we help buyers establish the governance and infrastructure required to support a successful transaction.
